Terms of Service

1. Software Development Agreements

Yamee Cluster provides custom ERP, CRM, and portal systems on a project-by-project basis, defined by individual Statements of Work (SOWs) and project specifications. Any scope alterations, layout modifications, or supplemental features requested after the signing of the initial SOW are subject to formal review, timeline renegotiation, and auxiliary billing schedules.

2. Intellectual Property (IP) Ownership

Upon final payment of all outstanding invoices, the client receives the right to use and modify the custom application codebase developed specifically for their project. However:

• Yamee Cluster retains ownership of all generic database models, pre-existing layout libraries, and open-source integration scripts utilized during project execution.
• No client has the right to resell, redistribute, or package these core developer scripts as standalone products.

3. Service Warranties and Limitations

We build our codebases strictly to meet modern verification rules, ensuring sub-second page loads and semantic validation. However, Yamee Cluster does not warrant that third-party cloud architectures, payment gateways, or hosting edge nodes will be entirely error-free or run without operational downtime. We provide server monitoring and SLA support agreements as separate service add-ons.

4. Governing Law and Jurisdiction

These Terms of Service and any contractual agreement executed with Yamee Cluster are governed by and construed in accordance with the laws of India. Any legal dispute, operational claim, or intellectual property litigation arising from services rendered will fall under the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
